1. Acceptance of Terms
Welcome to Vectalk.ai ("we," "our," or "us"), a product of NeoPhoenix.ai, based in Gujarat, India. By accessing or using the Vectalk.ai platform, website, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.
These Terms apply to all users of the Service including, without limitation, users who are browsers, customers, merchants, and contributors of content.
2. Description of Service
Vectalk.ai provides an AI-powered governed retrieval platform designed for enterprise teams. Our Service includes:
- ✓Retrieval-Augmented Generation (RAG) infrastructure for enterprise knowledge bases
- ✓AI model management, fine-tuning, and deployment pipelines
- ✓Data source integration (databases, file systems, SaaS tools, APIs)
- ✓Access governance, role-based controls, and audit logging
- ✓Application development tools for building AI-powered products
- ✓On-premises and cloud deployment options
We strive to maintain high availability of the Service, however:
- ✓We reserve the right to perform scheduled maintenance with prior notice
- ✓We may temporarily suspend access for upgrades, security patches, or emergency fixes
- ✓Features and functionality may be modified, added, or removed over time
- ✓Specific uptime guarantees are governed by your applicable Service Level Agreement (SLA)
We may offer beta or experimental features from time to time. These features:
- ✓Are provided 'as-is' without warranty of any kind
- ✓May be discontinued at any time without notice
- ✓Should not be relied upon for production-critical workloads
3. User Accounts & Registration
- ✓You must be at least 18 years of age to create an account
- ✓You must provide accurate, current, and complete information during registration
- ✓You are responsible for maintaining the confidentiality of your credentials
- ✓You must notify us immediately of any unauthorized account access at business@neophoenix.com
- ✓One person or legal entity may not maintain more than one free account
- ✓You are solely responsible for all activity occurring under your account
- ✓You must not share account credentials with unauthorized persons
- ✓You are responsible for all users you grant access within your organization
- ✓You must update your account information to keep it accurate and current
We reserve the right to verify account information and may require additional documentation to confirm your identity or organization, particularly for enterprise accounts or government deployments.
Accounts that cannot be verified may be suspended or terminated.
4. Acceptable Use Policy
- ✓Building and deploying AI-powered applications for your organization
- ✓Connecting and analyzing your own data sources within the platform
- ✓Using the API to integrate Vectalk.ai capabilities into your products
- ✓Accessing and exporting your data and AI outputs for business purposes
- ✓Collaborating with team members within your licensed organization
- ✓Using the Service for any unlawful purpose or in violation of applicable laws
- ✓Uploading or transmitting harmful, offensive, defamatory, or discriminatory content
- ✓Attempting to gain unauthorized access to any part of the Service or its systems
- ✓Reverse engineering, decompiling, or attempting to extract source code
- ✓Reselling or sublicensing access to the Service without written permission
- ✓Using the Service to train competing AI models or products
- ✓Introducing malware, viruses, or any malicious code into the Service
- ✓Circumventing rate limits, access controls, or security features
- ✓Engaging in data scraping, crawling, or harvesting beyond permitted API use
All content you submit to the Service must not:
- ✓Infringe on the intellectual property rights of any third party
- ✓Contain personally identifiable information of individuals without their consent
- ✓Violate any applicable data protection or privacy regulations (GDPR, PDPA, etc.)
- ✓Constitute spam, unsolicited communications, or automated abuse
5. Intellectual Property
Our IP: All rights, title, and interest in and to the Service — including software, models, interfaces, branding, documentation, and all related intellectual property — are and remain the exclusive property of NeoPhoenix.ai and its licensors.
Your IP: You retain full ownership of all data, content, and outputs you create using the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide and improve the Service.
Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual license to use such feedback for any purpose without compensation to you.
- ✓The Vectalk.ai name, logo, and branding are trademarks of NeoPhoenix.ai
- ✓You may not use our trademarks without prior written consent
- ✓Open-source components are used under their respective licenses
6. Payment & Subscription Terms
- ✓Vectalk.ai is offered under monthly and annual subscription plans
- ✓Pricing and plan details are published on our website and subject to change with 30 days' notice
- ✓Annual plans are billed upfront and offer a discounted rate
- ✓Enterprise custom pricing is available — contact business@neophoenix.com
- ✓Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
- ✓All charges are in USD unless otherwise agreed in your contract
- ✓Taxes, duties, and levies are your responsibility unless otherwise stated
- ✓Invoices are issued electronically to your registered billing email
Monthly subscriptions may be cancelled at any time; no refunds are provided for the current billing period. For annual subscriptions:
- ✓Refunds may be requested within 14 days of initial purchase if the Service has not been materially used
- ✓We do not provide partial refunds for unused months in annual plans
- ✓Enterprise agreements are governed by individual contract terms
- ✓Overdue accounts may be suspended after 7 days of non-payment
- ✓We may charge interest at 1.5% per month on overdue balances
- ✓You remain responsible for all fees incurred before suspension
- ✓Reinstated accounts require full payment of outstanding balances
7. Data Ownership & Privacy
You own your data. All data, documents, and content you upload or generate through the Service remains entirely yours. We do not claim ownership over your data.
We act as a data processor on your behalf. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
- ✓We employ AES-256 encryption at rest and TLS 1.3 in transit
- ✓On-premises deployments ensure your data never leaves your infrastructure
- ✓We do not sell, rent, or share your data with third parties for their marketing
- ✓You may export or delete your data at any time
- ✓Data Processing Agreements (DPA) are available for enterprise customers on request
8. Service Level Agreement
For paid plans, Vectalk.ai targets the following service levels for cloud-hosted deployments:
- ✓99.9% monthly uptime for production environments (excluding scheduled maintenance)
- ✓24/7 automated infrastructure monitoring and anomaly detection
- ✓P1 critical incident response within 1 hour for enterprise plans
- ✓P2 high incident response within 4 hours for professional plans
- ✓Scheduled maintenance performed during off-peak hours with 48-hour advance notice
- ✓Status updates published at status.vectalk.ai during incidents
9. Limitation of Liability
Disclaimer of Warranties: The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Limitation of Damages: To the maximum extent permitted by applicable law, NeoPhoenix.ai and its affiliates, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
Cap on Liability: Our total liability to you for any claims arising under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months prior to the event giving rise to the claim.
- ✓We are not liable for AI-generated outputs used in business decisions
- ✓We are not responsible for third-party services or integrations
- ✓We are not liable for downtime resulting from force majeure events
- ✓Some jurisdictions do not allow exclusion of certain warranties — these terms apply to the maximum extent permitted by law
10. Termination
- ✓You may cancel your account at any time via your account settings or by contacting support
- ✓Cancellation takes effect at the end of your current billing period (monthly plans) or immediately (annual plans, subject to refund policy)
- ✓You are responsible for exporting your data prior to account closure
- ✓We may suspend or terminate your account immediately for violation of these Terms
- ✓We may terminate accounts with 30 days' notice for business or operational reasons
- ✓We will provide a pro-rated refund for terminations initiated by us without cause
- ✓Termination for cause (e.g., breach of Acceptable Use Policy) does not entitle you to a refund
Upon termination of your account:
- ✓Your right to access and use the Service immediately ceases
- ✓Your data will be retained for 30 days to allow export, then permanently deleted
- ✓Sections 5, 7, 9, and 11 of these Terms survive termination
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Gujarat, India, without regard to its conflict of law provisions.
Dispute Resolution: We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), conducted in Ahmedabad, Gujarat.
Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
- ✓Changes to these Terms will be notified via email with 30 days' advance notice
- ✓Continued use of the Service after changes constitutes acceptance of the updated Terms
- ✓If any provision of these Terms is found invalid, the remaining provisions remain in effect
